Credkeeper™ provides software, technology, publishing assistance, content workflows, visibility tools, and related services that may help users create, review, approve, publish, distribute, or share professional content. This Compliance & Content Policy explains each user’s responsibility for reviewing, approving, correcting, and ensuring the compliance of any content created, submitted, approved, published, or distributed through or with the assistance of Credkeeper.
This Policy is especially important for users in regulated industries, including financial services, securities, investment advisory, insurance, mortgage, legal, tax, healthcare, and other professional or regulated fields.
1. User Responsibility for Content
Each Credkeeper user, customer, subscriber, profile owner, organization, representative, agent, advisor, broker, professional, or other person or entity using Credkeeper, whether directly or through an employer, firm, enterprise account, or authorized representative, is solely responsible for the accuracy, completeness, legality, regulatory compliance, and appropriateness of all content associated with that user.
This includes, without limitation:
- profile content;
- biographies and professional descriptions;
- articles, posts, newsletters, updates, comments, captions, summaries, and promotional materials;
- credentials, licenses, registrations, awards, ratings, designations, testimonials, endorsements, reviews, rankings, and third-party references;
- claims regarding experience, expertise, performance, results, client outcomes, investment philosophy, services, products, fees, or professional background;
- content published on Credkeeper, third-party websites, social media platforms, search results, digital publications, email campaigns, landing pages, or other media channels.
Credkeeper may assist with drafting, editing, formatting, enhancing, publishing, distributing, or displaying content. However, Credkeeper does not assume responsibility for the user’s compliance obligations. As between the user and Credkeeper, the user remains solely responsible for all content once it is approved, deemed approved, published, distributed, displayed, or otherwise made available.
2. Compliance Review Required Before Publication
Users are responsible for ensuring that all content is reviewed and approved by any required compliance department, supervisor, legal counsel, principal, registered principal, employer, broker-dealer, registered investment adviser, insurance agency, licensing body, regulatory authority, or other required reviewer before publication.
Credkeeper does not know every user’s regulatory status, employer requirements, supervisory procedures, jurisdiction-specific rules, or internal compliance policies. Accordingly, users must determine whether content requires prior review, written approval, recordkeeping, filing, archiving, disclosure, modification, or rejection before it may be published or distributed.
For users in financial services, securities, investment advisory, insurance, or similar regulated industries, content may be subject to rules or standards issued by the SEC, FINRA, state securities regulators, state insurance departments, the FTC, employer compliance departments, broker-dealers, RIAs, custodians, platforms, or other authorities. Users are solely responsible for determining and satisfying those obligations.
3. Negative-Consent Content Approval Process
Unless a separate written agreement states otherwise, Credkeeper may use a negative-consent approval process for certain content.
Under this process:
- Credkeeper may send draft content, proposed content, revised content, or notice of pending publication to the user’s designated email address or other approved communication channel.
- The user is responsible for promptly reviewing the content and submitting it to any required compliance, legal, supervisory, or internal approval process.
- The user must reject, correct, revise, or request changes to the content before the expiration of the review period if the content is inaccurate, incomplete, misleading, noncompliant, unauthorized, or otherwise not approved for publication.
- Unless otherwise stated in writing, the review period is five calendar daysfrom the time Credkeeper sends the notice or content to the user’s designated email address or approved communication channel.
- If the user does not reject the content, request changes, or notify Credkeeper in writing that the content is not approved within the five-calendar-day review period, the content will be deemed approved by the user for publication.
- Once the review period expires without rejection or requested changes, Credkeeper may publish, distribute, display, submit, post, schedule, or otherwise use the content without additional approval.
Failure to review an email, failure to forward content to a compliance department, failure to obtain internal approval, failure to monitor a designated inbox, absence from work, vacation, staff turnover, spam filtering, or delay by a compliance department does not extend the review period unless Credkeeper agrees in writing.
4. Effect of Deemed Approval
If content is published after the five-calendar-day review period without rejection or requested changes, the content will be treated, as between the user and Credkeeper, as having been reviewed, authorized, and approved by the user.
The user represents and warrants that any content approved or deemed approved:
- has been reviewed for accuracy and completeness;
- has been submitted to and approved by the user’s compliance department, supervisor, legal counsel, registered principal, employer, or other required reviewer, if applicable;
- complies with all laws, rules, regulations, industry standards, licensing requirements, professional obligations, internal policies, and platform rules applicable to the user;
- does not contain false, misleading, exaggerated, promissory, deceptive, unfair, unsupported, or unsubstantiated statements;
- does not omit material facts necessary to make the content fair, balanced, accurate, and not misleading;
- includes all required disclosures, disclaimers, risk statements, limitations, approvals, legends, and qualifications;
- may be published, distributed, displayed, and used by Credkeeper and its service providers in connection with the user’s account, profile, services, or campaign.
5. Incorrect, Misleading, or Noncompliant Content
Any incorrect, misleading, incomplete, outdated, noncompliant, unauthorized, or otherwise problematic content that is approved, deemed approved, or not timely rejected by the user is the responsibility of the user.
As between the user and Credkeeper, the user assumes full responsibility for any claim, omission, statement, implication, disclosure failure, compliance failure, regulatory concern, consumer complaint, client complaint, employer complaint, supervisory issue, or third-party allegation arising from content that the user approved or allowed to be deemed approved.
This applies even if Credkeeper drafted, edited, formatted, enhanced, published, distributed, or displayed the content.
Credkeeper is not responsible for verifying the truth, accuracy, completeness, compliance status, licensing status, registration status, disciplinary history, credential validity, approval status, or suitability of user content unless expressly agreed in a separate written agreement signed by Credkeeper.
6. Regulated Professional Content
Users in regulated industries must apply heightened review before approving or allowing publication of content.
This includes, without limitation, content involving:
- securities, investment advisory services, financial planning, brokerage services, insurance, annuities, mortgage products, banking, lending, tax, legal, healthcare, or other regulated services;
- testimonials, endorsements, reviews, ratings, rankings, awards, recognitions, or third-party statements;
- investment performance, hypothetical performance, backtested results, model performance, projections, forecasts, guarantees, or comparisons;
- claims about results, expertise, specialization, credentials, licenses, registrations, assets under management, client satisfaction, past success, or future outcomes;
- references to specific securities, products, strategies, funds, managers, portfolios, issuers, insurance products, tax strategies, legal outcomes, or medical outcomes;
- claims that could require substantiation, disclosures, risk explanations, client consent, firm approval, regulator filing, or archival retention.
Users are responsible for ensuring that this content is approved before publication where required. The negative-consent process does not replace affirmative written approval, principal approval, compliance approval, supervisory review, filing, archiving, or other procedures required by law, regulation, employer policy, or professional standards.
If a user is not permitted to use negative consent for a particular type of content, the user must notify Credkeeper in writing before the review period expires and must not allow the content to be deemed approved.
7. No Compliance, Legal, Investment, or Regulatory Advice
Credkeeper does not provide legal advice, compliance advice, investment advice, securities advice, tax advice, insurance advice, medical advice, or professional regulatory advice.
Any templates, prompts, drafts, recommendations, examples, edits, workflows, publication tools, artificial intelligence features, automation, or content support provided by Credkeeper are provided for convenience only. They are not a substitute for review by the user, the user’s firm, compliance department, legal counsel, registered principal, supervisor, or other qualified professional.
Users should consult their own legal, compliance, supervisory, and professional advisors before approving or publishing content.
8. User Duty to Monitor and Correct Content
Users must regularly monitor their Credkeeper account, designated email address, published content, profiles, pages, posts, and related materials for accuracy and compliance.
Users must promptly notify Credkeeper in writing if any content is inaccurate, outdated, misleading, unauthorized, noncompliant, or should be removed, corrected, unpublished, archived, revised, or supplemented.
Credkeeper may, but is not obligated to, remove, revise, suspend, withhold, or disable content that Credkeeper believes may be inaccurate, unlawful, misleading, noncompliant, harmful, infringing, or inconsistent with Credkeeper policies.
Credkeeper’s decision to remove, revise, suspend, withhold, or disable content does not transfer responsibility for the content from the user to Credkeeper.
9. Required Disclosures and Substantiation
Users are solely responsible for providing, verifying, and approving all disclosures, disclaimers, legends, qualifications, substantiation, supporting documentation, permissions, and approvals required for their content.
This may include, without limitation:
- risk disclosures;
- compensation disclosures;
- testimonial or endorsement disclosures;
- client status disclosures;
- conflict-of-interest disclosures;
- performance calculation support;
- award or ranking methodology support;
- licensing or registration disclosures;
- jurisdictional limitations;
- firm-specific legends;
- broker-dealer or RIA disclosure language;
- insurance, legal, tax, or medical disclaimers;
- social media or advertising disclosures;
- any other disclosure required by law, regulation, employer policy, platform rule, or professional standard.
Credkeeper is not responsible for determining which disclosures apply to a user or whether a user’s disclosures are sufficient.
10. Books, Records, Archiving, and Evidence of Approval
Users are responsible for maintaining all books, records, archives, approvals, review records, correspondence, substantiation, disclosure support, and evidence required by applicable law, regulation, firm policy, or professional standard.
Credkeeper may maintain records for operational, technical, business, legal, or contractual purposes, but Credkeeper does not represent that its systems satisfy any specific regulatory books-and-records, archiving, supervision, retention, WORM storage, audit, e-discovery, or compliance requirement unless expressly stated in a separate written agreement signed by Credkeeper.
Users should not rely on Credkeeper as their sole compliance archive unless Credkeeper has expressly agreed in writing to provide that service.
11. User Representations
By using Credkeeper, submitting content, approving content, failing to reject content within the applicable review period, or allowing content to be published, the user represents and warrants that:
- the user has authority to approve and publish the content;
- the content is accurate, complete, current, and not misleading;
- the content complies with all applicable legal, regulatory, professional, employer, platform, and contractual requirements;
- all required approvals have been obtained before publication;
- all required disclosures and disclaimers have been included;
- the user owns or has sufficient rights to use all names, images, likenesses, logos, trademarks, testimonials, endorsements, reviews, quotes, credentials, and third-party materials included in the content;
- the content does not infringe, misappropriate, or violate any third-party rights;
- the content may be published and distributed by Credkeeper and its service providers.
12. Indemnification and Responsibility for Claims
To the maximum extent permitted by law and subject to any applicable written agreement between the parties, the user is responsible for any claims, losses, liabilities, damages, penalties, fines, costs, expenses, investigations, complaints, demands, or proceedings arising out of or related to:
- user content;
- approved or deemed-approved content;
- inaccurate, incomplete, misleading, deceptive, or noncompliant content;
- failure to obtain required compliance, legal, supervisory, or regulatory approval;
- failure to include required disclosures or disclaimers;
- failure to maintain required records;
- violation of law, regulation, professional standard, employer policy, platform rule, or third-party right;
- any content Credkeeper publishes, distributes, displays, or submits on the user’s behalf after approval or deemed approval.
This responsibility applies regardless of whether Credkeeper assisted in drafting, editing, formatting, enhancing, scheduling, publishing, distributing, or displaying the content.
13. Enterprise, Firm, and Team Accounts
For enterprise, firm, team, or organization accounts, the organization is responsible for assigning appropriate reviewers, maintaining accurate contact information, configuring internal approval workflows, training users, monitoring content, and ensuring that all required compliance approvals occur before content is approved or deemed approved.
If an organization designates a user, administrator, reviewer, email address, compliance contact, or approval workflow, Credkeeper may rely on that designation unless Credkeeper receives written notice of a change.
14. Conflicts With Other Agreements
This Policy supplements Credkeeper’s Terms of Service, Privacy Policy, order forms, service agreements, and other applicable agreements. If this Policy conflicts with a separately signed written agreement between the user and Credkeeper, the signed written agreement will control to the extent of the conflict.
15. Updates to This Policy
Credkeeper may update this Compliance & Content Policy from time to time. Updates will be posted on this page with a revised “Last Updated” date. Continued use of Credkeeper after an update constitutes acceptance of the updated Policy to the extent permitted by applicable law.
